User agreement
Agreement
This agreement is the treaty of cooperation between a company or a physical person represented by you, whose information you have entered in the registration form (hereinafter referred to as the “Customer”) and the company “Adnet”, company code 111726576, address Verkių St. 5 (hereinafter referred to as the “Operator”).
Terms
Agreement – this document provides the guidelines and information provided in the Partner’s FAQ (Frequently Asked Questions) https://www.textads.lt/lt/client/faq/.
Partner – the third party, the website owner.
Partner’s Website – the set of websites belonging to the third party, which have a common Internet address and into which textual ads of the Textads.lt network are placed.
Textual ad – Advertiser’s advertisement text with the interactive link used in the Textads.lt system and meeting its requirements.
Section – the set of Partner websites meeting the independent requirements of the Operator.
Placing Ads
The Customer’s textual ads are placed in the selected section. The placement and appearance of the ads are customised by the Partner. The Customer understands that the same placement of ads can be suggested to any other Advertiser. The Operator or the Partners have the right to remove textual ads from any website without a separate warning. The Operator has the right to add a new Partner’s website to the section.
Cost
The Operator sets the minimum costs per click in each section. The real cost is determined in the virtual auction, whose results aren’t directly influenced by the Operator.
Payments
The Customer carries out payments according to the cash in advance account that is automatically generated after his or her signing in. Within 12 working hours from receipt of payment, the Operator must include the received money into the Customer’s account in the system. The VAT invoice is formed and presented to the Customer in the Textads.lt system no later than the tenth day of the following month. The VAT invoice is written for the month the payment was received. In separate cases, the Operator can grant a credit for the Advertiser on the basis of other treaties of cooperation. Each partner has the right to transfer their accumulated credits for ad display to any selected Advertiser. The Operator doesn’t have to refund the money that was paid by the Customer but not used, except in cases when the Customer‘s selected section is undone or the system operation is stopped.
Accounts
The Operator must ensure a 24 hour login to the Customer’s account in the Textads.lt system where a complete report of ad display and payments is provided.
Ad Content
The Customer is fully responsible for the content of textual ads and the advertised website. The Operator has the right to correct grammatical mistakes and perform minor text corrections, if it doesn’t change the content of the textual ad.
Confidentiality and Privacy Policy
The Operator undertakes the obligation not to disclose any information about the Customer’s information, payments or any other information revealed in the course of interaction with third parties, except in cases provided for by law. All provided information can be used only when acting within the limits of the Textads.lt system.
Duration
Textads.lt system operation is unlimited. The Operator has the right to stop the system operation, informing the Customer of this by e-mail no later than within 10 working days. If, after stopping the system operation, the Customer’s unused funds remain, the Operator must refund them by transferring them to the payer’s account no later than within 20 working days from stopping the system operation. The Customer can withdraw from the activity at any time by deleting all of his or her advertising offensives. When the Customer’s activity is stopped, all remaining funds are returned to the Customer.
Force majeure
None of the parties are responsible for default if it occurs due to floods, fires, earthquakes, other natural disasters, epidemics, acts of war, or acts of state government or authorities. Any party unable to apply the undertakings due to the above-mentioned factors should inform the other party of this by e-mail within five working days.
Further Guidelines
The Customer guarantees that this registration form contains the correct data about themsleves and/or the represented person.
The Customer confirms that they are authorised and have the right to represent the Internet website whose ads will be placed in the Textads.lt system.
The Operator reserves the right to change and enlarge this agreement at any time.
The Textads.lt system operates according to the laws of the Republic of Lithuania. All disputes concerning Textads.lt operation are settled by negotiation, and if no positive result is acheved – by the laws of the Republic of Lithuania.
